Welcome to Omisell! These Terms of Service ("Terms") govern your access to and use of the Omisell website, products, and services (collectively, the "Services"). Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

2. Description of Service

Omisell provides an e-commerce platform that allows users to manage their online store, inventory, orders, and other related services. We may update, change, or discontinue any aspect of our Services at any time.

3. Registration and Accounts

To use certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Be responsible for all activities that occur under your account

4. User Responsibilities

You agree not to use the Services to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Distribute viruses or other harmful computer code
  • Collect information about others without their consent
  • Interfere with the security or integrity of our Services

5. AI Assistant Connectors (MCP)

Omisell offers a connector, based on the Model Context Protocol, that lets you connect a third-party AI assistant such as Claude or ChatGPT to your Omisell account. By connecting an AI assistant, you agree that:

  • You authorise Omisell to provide the AI assistant you connect with the data it requests from the businesses and data areas you approved on the Omisell consent screen. Your use of that assistant is governed by its provider's own terms and privacy policy, and Omisell is not responsible for how the provider processes that data.
  • Answers produced by an AI assistant can be incomplete or wrong. Check important information in Omisell before acting on it.
  • Changes are made only after the assistant shows you a preview and you confirm it. You are responsible for every change you confirm, including changes that are sent to your sales channels, couriers or warehouses, such as prices, stock levels, order and shipment updates and cancellations, some of which cannot be reversed.
  • Staff accounts keep the permissions set for them in Omisell, and the account owner remains responsible for the access granted to staff.
  • You will not use the connector to access data of businesses you are not authorised for, to bypass the confirmation step, to overload the Services or exceed rate limits, or to resell access to the Services.

We may change, limit or remove connector features and tools, and may suspend or revoke a connection to protect you, other users or the Services. You can disconnect at any time from your AI assistant's settings. See our Privacy Policy for how connector data is handled.

6. Payment Terms

Certain features of our Services may require payment. You agree to pay all fees and charges associated with your account on a timely basis. All fees are non-refundable except as required by law.

7. Intellectual Property

All content included in or made available through our Services, such as text, graphics, logos, and software, is the property of Omisell or its content suppliers and protected by copyright and other laws.

8. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

9. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMISELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes through our website or by other means. Your continued use of our Services after such notice constitutes your acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
